Registered Office Address in Hong Kong: Complete Guide (2026)

Every company incorporated in Hong Kong must maintain a registered office address in Hong Kong. This is a legal requirement under the Companies Ordinance, not a recommendation. Without a valid registered office address, your company cannot be incorporated, cannot receive official correspondence, and risks being struck off the register.

This guide explains what the registered office address requirement means, what qualifies, the options available to you, and how to change it if your circumstances evolve.

Highlights of this article

  • Every Hong Kong company must have a registered office address under Companies Ordinance Cap. 622, s.658
  • PO boxes are not accepted; the address must be a physical location in Hong Kong
  • The address is publicly available on the Companies Registry and can be looked up by anyone
  • Options include your own office, a home address, or a registered address service from a company secretary
  • Any change must be notified to the Companies Registry within 15 days using Form NR1
  • Using a professional registered address service protects your privacy and ensures reliable mail handling

What Is a Registered Office Address in Hong Kong?

Under section 658 of the Companies Ordinance Cap. 622, every company incorporated in Hong Kong must at all times have a registered office in Hong Kong. This address serves several legal functions:

  • It is where the Companies Registry sends all official correspondence
  • It is where the Inland Revenue Department sends tax assessments, demand notes, and audit notices
  • It is the address used for service of legal documents, including court proceedings
  • It appears on the public register and can be searched by anyone

The address must be a physical location in Hong Kong. A PO box is not acceptable. A foreign address is not acceptable. The address must exist and be capable of receiving mail.

This is distinct from where your business actually operates. Many companies, particularly startups and foreign-owned businesses, use a professional registered address service as their registered office while running day-to-day operations from elsewhere, including overseas.

Registered Office Address vs Business Registration Address

This distinction causes confusion, but it matters.

Registered office address: The address filed with the Companies Registry under the Companies Ordinance. This is the address that appears on the Companies Registry public record. Business Registration address: The address shown on your Business Registration Certificate, issued by the Inland Revenue Department under the Business Registration Ordinance.

In most cases, companies use the same address for both. However, they are technically separate records maintained by separate government departments. When you change your registered office address, you notify the Companies Registry. When you change your business registration address, you notify the Business Registration Office.

If you use a registered address service provider, confirm that they handle both notifications, or be prepared to file each one separately.

Options for Your Registered Office Address

1. Your Own Office Space

If you rent or own office space in Hong Kong, you can use that address as your registered office. This is the most straightforward option and works well if you have a permanent physical presence in Hong Kong.

The main consideration: this address becomes public. Anyone searching the Companies Registry can see where your company's registered office is. If confidentiality matters to you, or if your office address changes regularly, a professional service may be preferable.

2. Home Address

Using your home address is permitted under Hong Kong law. Many sole directors of small companies use this approach to keep costs low.

The trade-off is privacy. Your home address will appear on the public Companies Registry record, accessible to anyone. Once filed, it cannot be retroactively removed from historical records even if you change the address later.

For foreign nationals living overseas who want to use their overseas address: this is not permitted. The registered office must be in Hong Kong. If you are based outside Hong Kong, you need a Hong Kong address.

3. Registered Address Service (Virtual Office)

This is the most common option for startups, foreign-owned companies, and businesses with no physical Hong Kong office.

A registered address service, typically provided by a company secretarial firm, gives you a Hong Kong address to use as your registered office. Mail received at that address is either forwarded to you or scanned and sent digitally.

What this service does not include: it does not give you a physical workspace. You cannot use the address to receive clients, conduct meetings, or operate a trading floor. It is solely for official government correspondence and the public register.

Typical cost: HKD 1,000 to HKD 3,000 per year depending on the provider and what mail handling is included.

Air Corporate's registered address service is included with every company registration package. The address is located in a commercial building in Hong Kong, all government mail is scanned and forwarded within 1 business day, and the service is renewed annually as part of your ongoing compliance package.

4. Your Company Secretary's Address

Company secretaries often allow clients to use their registered office address as part of the company secretary service. This is functionally the same as a registered address service, but bundled with your secretarial obligations.

Since every Hong Kong company is required to have a company secretary anyway, this approach can simplify administration. You deal with one provider for both your registered address and your statutory secretarial duties.

How to Change Your Registered Office Address

Filing the registered office address change form with the Companies Registry portal

Companies change their registered office address for a variety of reasons: moving to new office premises, switching service providers, or restructuring how they operate.

The process is straightforward but time-sensitive.

Step 1: Decide on the new address

Confirm the new address is a valid physical address in Hong Kong. If you are moving to a new service provider, ensure they are ready to receive mail before you file the change.

Step 2: File Form NR1 with the Companies Registry

You must notify the Companies Registry within 15 days of the change using Form NR1. This can be done through the e-Registry portal online or in person.

Filing online is free. Filing a paper form costs HKD 105.

Step 3: Update your Business Registration address (if applicable)

If you want the new address to also appear on your Business Registration Certificate, submit form IRBR200 to the Business Registration Office. This is a separate filing.

Step 4: Update your company's internal records

Your company's register of members, register of directors, and other statutory records should reflect the correct registered office address.

Timeline: The Companies Registry typically updates the public record within 1-3 business days of receiving a valid NR1 form. What if you miss the 15-day deadline? File as soon as possible. Late filing does not automatically result in a penalty for a first occurrence, but persistent non-compliance can lead to prosecution under the Companies Ordinance.

What Happens If Your Registered Office Address Is Invalid

If the Companies Registry sends correspondence to your registered office and the mail is returned as undeliverable, the Registry may conclude that the company is no longer operating at that address. This can trigger a process where the company is struck off the register as a defunct company.

Once struck off, the company ceases to exist as a legal entity. Restoring it requires a court order and can be expensive and time-consuming.

Using a professional registered address service mitigates this risk significantly, as the provider is specifically set up to receive and forward government mail reliably.

Separately, if your Business Registration address is wrong, the IRD may have difficulty reaching you for tax assessments. Missed assessments do not exempt you from tax liability. The IRD can issue estimated assessments and charge interest on unpaid tax.

Your registered office address is referenced in your company's annual return, which must be filed with the Companies Registry every year. If you have changed your address but not updated it correctly, the annual return will contain incorrect information.

Frequently Asked Questions

Does every Hong Kong company need a registered office address?

Yes. Under section 658 of the Companies Ordinance Cap. 622, every company incorporated in Hong Kong must maintain a registered office address in Hong Kong at all times. There are no exceptions. If a company lacks a valid registered office address, it is in breach of the Companies Ordinance.

Can I use a PO box as my registered office address in Hong Kong?

No. The Companies Ordinance requires a physical address in Hong Kong. A PO box does not satisfy this requirement because it cannot function as an address for service of legal documents and does not represent a physical location accessible to process servers or official visitors.

Is my registered office address visible to the public?

Yes. The registered office address is part of the public record maintained by the Companies Registry. Anyone can search the register online and see your company's registered office address. This is one reason why many businesses prefer to use a professional registered address service rather than a home address.

How long do I have to notify the Companies Registry of an address change?

You must file Form NR1 with the Companies Registry within 15 days of the change. Filing electronically through the e-Registry portal is free; filing a paper form costs HKD 105.

What is the difference between a registered office address and a business address in Hong Kong?

The registered office address is the address filed with the Companies Registry under the Companies Ordinance. The business address appears on the Business Registration Certificate issued by the Inland Revenue Department. They can be the same address, but they are maintained by different government departments and changed through different forms. Most companies use the same address for both.

Can a foreign company director use an overseas address as the Hong Kong registered office?

No. The registered office address must be a physical address in Hong Kong, regardless of where the directors or shareholders are based. Foreign-owned companies must arrange a Hong Kong address, typically through a registered address service provided by a company secretary or incorporation service.

What happens if my registered office address stops receiving mail?

If the Companies Registry cannot deliver correspondence to your registered office, it may conclude that your company is defunct and initiate strike-off proceedings. To avoid this, use a professional service provider who is set up specifically to receive and forward government mail. If you are changing addresses, ensure the new address is operational before filing the change with the Registry.
